302/404 Compliance Process Two sections of the Sarbanes-Oxley Act of 2002 have immediate Implications for most public companies. Section 302 requires that each public corporation have designed controls so that officers (i.e. the CEO and CFO) can certify that all material information is included; that they have evaluated the effectiveness of the controls within the past 90 days and found them effective. The officers certify that they have disclosed all significant deficiencies to their auditors including any discovered fraud and that there have been no changes since their last evaluation that would effect the controls.
